6.2 Taxes and Fees

All applicable federal, state, and local taxes, delivery fees, service charges, and any other applicable fees will be added to your order total at checkout. You are responsible for the payment of all such taxes and fees.

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Green Lantern Pizza primarily operates, without regard to conflict of law principles. By using our Website and services, you consent to the personal jurisdiction of and venue in the applicable state and federal courts located in the United States.

If you are a California resident, you may also have rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), which are addressed in our separate Privacy Policy.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services by contacting us directly at [email protected]. We will use good-faith efforts to resolve the matter within thirty (30) days of receiving your written notice of the dispute. You agree to provide us with a description of the dispute, the amount in controversy (if applicable), and the specific relief sought.

12.2 Binding Arbitration

If the parties are unable to resolve a dispute through informal means within thirty (30) days, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of our services, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in the English language.

The arbitrator shall have the authority to award any remedies that would be available in a court of law. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND GREEN LANTERN PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Additionally, either party may bring claims in small claims court if the claims qualify.

12.5 Time Limitation

Any claim or dispute arising out of or related to these Terms must be filed within one (1) year after such claim or dispute arose, regardless of any statute or law to the contrary. If a claim is not filed within this period, it is permanently barred.

13. Term and Termination

13.1 Term

These Terms of Service are effective as of the date first set forth above and shall remain in full force and effect for as long as you use our Website or services, unless earlier terminated in accordance with these Terms.

13.2 Termination by You

You may terminate your account and cease using our services at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations or liabilities that arose prior to termination.

13.3 Termination by Us

We reserve the right to suspend or terminate your access to our Website and services, with or without cause, with or without notice, at our sole discretion. Grounds for termination may include, without limitation:

Upon termination of your account or access to our services, your right to use our Website and services will immediately cease. 14. Changes to These Terms

We reserve the right to modify, update, or revise these Terms of Service at any time at our sole discretion. When we make changes to these Terms, we will:

  • Post the revised Terms on our Website at greenlaternpizz.click;

Changes to these Terms will become effective immediately upon posting, unless we specify a later effective date. Your continued use of our Website or services after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our Website and services and close your account (if applicable).

We encourage you to review these Terms periodically. We will maintain an archive of previous versions of these Terms upon request.

15. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect. The invalidity or unenforceability of any provision of these Terms in any jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction or the validity or enforceability of any other provision of these Terms in any jurisdiction.

The parties agree that if any provision of these Terms is found to be unenforceable as written, such provision shall be interpreted in a manner that most closely reflects the original intention of the parties while remaining enforceable under applicable law.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by us on our Website, constitute the entire agreement between you and Green Lantern Pizza with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

No waiver by either party of any breach or default of any provision of these Terms shall be deemed a waiver of any subsequent breach or default and shall not affect the other terms of these Terms. The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any right hereunder.

These Terms are for the benefit of the parties hereto and are not intended to confer any rights or benefits on any third party, and there are no third-party beneficiaries of these Terms.

17. Force Majeure

Green Lantern Pizza shall not be liable for any failure or delay in performance of our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes, interruptions in telecommunications, internet service disruptions, civil unrest, fire, flood, storm, earthquake, or other causes beyond our reasonable control (each, a "Force Majeure Event"). In such events, we will make commercially reasonable efforts to resume performance as soon as practicable.
